2. Acceptance and Amendments to the Agreement

2.1. The School has the right to amend or supplement the terms of this Agreement. The new terms enter into force from the moment they are published on the Website. Continued payment after the changes take effect constitutes the Client’s acceptance of the new terms.

2.2. If the Client is a legal entity or a corporate client, payment by an authorized representative constitutes the company’s full acceptance of this Agreement, including provisions regarding mandatory attendance (or watching lesson recordings to support the learning process), cancellations, and refunds.

3. Subject of the Agreement and Personal Data

3.1. The Service Provider provides educational services, and the Client undertakes to pay for them.

3.2. Payment confirms full awareness and acceptance of the terms of this Agreement.

3.3. The Service Provider may change the schedule of individual lessons with at least 24 hours’ notice. In cases of force majeure or unforeseen events (natural disasters, epidemics, technical failures, teacher illness), the Service Provider must notify the Client as soon as possible. The Client may choose one of the following options:

  • lesson rescheduling;
  • temporary teacher replacement;
  • lesson cancellation without deduction of payment (funds remain on the subscription).

3.4. In the event of cancellation or rescheduling of a group lesson, the decision on the new date or compensation format is made by group voting.

3.5. The Client gives informed consent to the processing, storage, and use of personal data, including lesson video recordings, in accordance with the Privacy Policy published on the Website at https://justlearneng.com/en/privacy.

4. Cost of Services and Payment Procedure

4.1. Service prices are listed on the Website and are valid at the time of payment.

4.2. Payment is made in advance for a subscription covering 1, 2, 4, or 6 months. Current subscription options, their prices, and terms of use are set out in the Service Provider’s price list in effect at the time of payment.

4.3. Payment must be completed no later than 24 hours before the lesson.

4.4. If payment is not received, the Service Provider may deny access to the lesson.

4.5. The School may change prices with 30 calendar days’ notice.

4.6. All fees, commissions, and charges imposed by banks or payment service providers in connection with payments under this Agreement shall be borne by the Client. The Service Provider shall not be liable for any additional costs arising from the Client’s chosen method of payment.

5. Attendance, Absences, and Rescheduling of Lessons

5.1. Payment for a subscription or individual lessons guarantees the Client access to the relevant lessons or to video recordings of missed lessons to support the learning process. A missed lesson is considered provided even if the Client did not attend it personally. The Client has no right to demand a refund for a lesson that was not attended.

5.2. Group lessons. A missed group lesson is considered conducted and is not subject to compensation, refund, or rescheduling, regardless of the reason for the absence. In case of absence, the Client is provided with a video recording of the lesson and educational materials.

5.3. Individual lessons. The Client has the right to reschedule up to 2 individual lessons per month or cancel 1 individual lesson per month, provided that notice is given at least 24 hours before the start of the lesson. In case of absence, the Client is provided with a video recording of the lesson (the teacher’s explanation of the lesson topic) and educational materials. In all other cases, including no-show, lateness, or cancellation/rescheduling less than 24 hours before the lesson, the individual lesson is considered conducted and is not subject to refund, compensation, or rescheduling.

5.4. The Client’s lateness to an individual or group lesson does not extend the duration of the lesson. Payment is not compensated.

5.5. Compensation right. If the Service Provider cancels an individual lesson due to force majeure circumstances or unforeseen events, including natural disasters, epidemics, technical failures, or teacher illness, and the Client refuses the proposed options for rescheduling the lesson or replacing the teacher, the Client is granted the right to one additional cancellation or rescheduling of an individual lesson without deduction of payment. This right may be used less than 24 hours before the start of the lesson during the following calendar month.

5.6. The Client has the right once per calendar year to suspend studies for a period of up to 2 weeks, with mandatory preservation of funds on the subscription and a guarantee of retaining their place in the schedule for the paid period.

5.7. Subscription Freezing and Special Refund Conditions

5.7.1. The Client has the right to freeze funds on their subscription once for a period of up to 3 (three) months. During the freezing period, lessons are not conducted, funds are not deducted, and the place in the schedule is not reserved.

5.7.2. The Client may resume studies at any time during the freezing period. Resumption is carried out subject to availability of a free place in a group or in the individual schedule of any available teacher who matches the Client’s level. The School does not guarantee resumption of lessons with the same teacher or in the same group in which the Client previously studied.

5.7.3. If, at the time of the request to resume studies, no free place is available, the Service Provider offers to add the Client to a waiting list for up to 30 calendar days. If no free place becomes available within 30 days, the Service Provider refunds the funds for unused lessons remaining on the balance at the moment of freezing. This constitutes the only exception to the general non-refund rule established by this Agreement.

5.7.4. If the Client has not resumed studies within 3 months of the freezing period, the Service Provider shall proceed as follows:

a) For group lessons: The Service Provider sends the Client video recordings of full group lessons (or equivalent educational materials) in a quantity corresponding to the cost of the unused lessons.

b) For individual lessons: The Service Provider sends the Client short video explanations from the teacher with relevant educational materials in a quantity equivalent to the amount of unused funds remaining on the balance.

After the provision of the relevant video materials or other educational materials, the funds are not refunded, and the Service Provider’s obligations under this Agreement are considered fully and properly fulfilled.

6. Liability of the Parties and Jurisdiction

6.1. The Service Provider provides the services in accordance with the description on the Website.

6.2. The Client is obliged to pay for all ordered lessons. The Client is obliged to attend all paid lessons personally or to watch the video recording of a missed lesson in order to support the learning process. Missing or not attending a lesson without watching the video recording does not release the Client from the obligation to pay.

6.3. The maximum liability of the Service Provider is limited to the amount paid by the Client.

6.4. Failure to achieve the desired result is not grounds for a refund.

6.5. All disputes are resolved through negotiations.

6.6. Applicable law is the law of the State of Illinois (USA), jurisdiction — Lake County Court. This Agreement does not limit mandatory consumer rights that cannot be excluded by law.

7. Termination of the Agreement

7.1. The Client may stop attending lessons at any time. Payment for a subscription or individual lessons is non-refundable, and unused lessons are not compensated.

7.2. Making a payment means the Client’s full consent to the terms of this Agreement, in particular to the provisions on:

  • mandatory payment for all ordered lessons;
  • mandatory attendance of lessons or viewing video recordings of missed lessons to support the learning process;
  • rules for cancellation and rescheduling of individual lessons;
  • absence of refunds for missed lessons.

7.3. The Service Provider has the right to immediately terminate this Agreement and discontinue the provision of Services in the event of:

  • systematic violation (two or more times during a paid subscription period) by the Client of the Student Code of Ethics;
  • violation by the Client of payment deadlines (Clause 4.3);
  • violation by the Client of intellectual property rights (Section 8).

In the event of any of the above violations, the funds paid by the Client are not refunded and are not subject to compensation in any form.

8. Intellectual Property Rights

8.1. All educational materials, lesson video recordings, files, links to online boards, notes, presentations, methodologies, texts, audio and video content created or provided by the Service Provider are the intellectual property of the Service Provider. The Client is granted the right to use the materials exclusively within the scope of personal learning.

8.2. It is prohibited to copy, record, download, publish, modify, sell, transfer to third parties, or use for commercial purposes any materials of the Service Provider without written permission.

8.3. Violation of these terms constitutes a material breach of this Agreement and entails immediate termination of the Agreement without refund, and may also serve as grounds for compensation of damages to the Service Provider in accordance with applicable law.

9. Language of the Agreement and Priority

9.1. This Agreement is executed in Ukrainian and English. Both versions are authentic; however, in the event of any discrepancies, inaccuracies, or differences in interpretation of the provisions of this Agreement, the English version shall prevail and shall be used for legal interpretation and application of the terms of the Agreement.

9.2. This Agreement and all Appendices thereto constitute the complete and exhaustive document governing the legal relationship between the Parties. Any oral agreements, prior negotiations, as well as messages sent via messengers, email, or other communication channels by a school employee or any other person, shall have no legal force and shall not create any rights or obligations for the Parties unless they are integrated into this Agreement in accordance with its provisions. Written agreements outside this Agreement shall be valid only if they contain the date and the signature of the School Director.

1. Personal Responsibility

The school provides high-quality, well-structured lessons, clear explanations of the material, and homework to reinforce knowledge. You, in turn, are responsible for your own learning process and its results: attending classes on time or watching the recordings, completing homework, and using practice materials. If something is unclear or you encounter difficulties, it is important to let us know. The teacher or school administrator is always ready to help.

2. Active Participation in Class

Try to take part in conversations, discussions, and practical exercises during lessons. We greatly appreciate your active involvement in the learning process.

3. Mutual Respect

The foundation of effective cooperation is polite and constructive communication. Please avoid using rude language, interrupting others, or making offensive remarks. All students at our school are equal: respect different cultures, religions, opinions, and levels of knowledge.

4. Technical Preparedness

Before class, make sure your device, camera, microphone, and internet connection are working properly. In case of technical issues, please inform the teacher or administrator in advance.

5. Confidentiality

Do not share class recordings, learning materials, or other students’ personal information without the permission of the students and school management. Use the materials received solely for your own learning.

6. Productive Environment

Ensure comfortable conditions for learning: avoid noise and distractions during the lesson whenever possible. Prepare for class in advance: have a notebook, pen, and learning materials ready if needed.

7. Feedback and Issue Resolution

We welcome your feedback and aim to constantly improve the quality of learning. If certain activities, lesson topics, or class formats are not suitable for you, please do not discuss this during class to avoid disrupting the learning process and comfort of other students. Instead, write to the school administrator at a convenient time. The administrator will review your request as soon as possible and help resolve the situation.

8. Mutual Support

We value an environment where people help each other grow. Do not hesitate to share your experience and ideas, as well as support classmates when needed. Criticism should be constructive, and praise should be sincere.

In Conclusion
